OUTER ABSTRACT IMAGE LICENSING AGREEMENT
GOVERNING LAW: This Agreement shall be governed by the laws of the Province of Alberta, Canada.
Industries for OUTER Licensing is available for Exclusive Commercial Licensing (starting at $25,000+ per design) for use in corporate branding, large-scale murals, and custom textiles.
SECTION 1: PARTIES AND ASSETS
The agreement follows this high-value structure:
Year 1 (The Test Year): The client pays the highest flat fee ($20k/$25k). This covers the risk of launching the product and ensures you have capital immediately.
Year 2 & 3 (The Success Years): The client pays a lower flat renewal fee PLUS a small royalty percentage on sales. This guarantees {gnzud} a continuous income if the product is successful.
Renewal: The contract explicitly grants the client the option to renew, but you control the price for that renewal.

GOVERNING LAW: This Agreement shall be governed by the laws of the Province of Alberta, Canada.
SECTION 2: GRANT OF LICENSE (PREMIUM USE)
Licensor grants Licensee an Exclusive Use License to reproduce, publicly display, and distribute the Digital Asset(s) under the following terms:
Rights Granted: Exclusive use for ONE (1) clearly defined commercial product category (e.g., Wall Coverings OR Textile/Apparel OR Product Packaging) for a single brand, including Advertising/Promotional Use related to that product.
Exclusivity: The license is Exclusive only for the specified DURATION, PRODUCT CATEGORY, and GEOGRAPHIC TERRITORY defined below. The Licensor retains the right to license the asset for any product category or territory not specified herein.
SECTION 3: PREMIUM PRICING AND DURATION (FLAT FEE + ROYALTY OPTIONS)
The fee reflects the high value of human-made, non-AI artwork and its intended premium application.

SECTION 4: INTELLECTUAL PROPERTY AND PROHIBITED USE
IP Ownership: The Licensor retains all copyright and intellectual property rights to the Digital Asset(s). The Licensee is granted usage rights only and acquires no ownership.
AI Training Prohibition (CRITICAL): The Digital Asset(s) MAY NOT be used to train any Artificial Intelligence, machine learning, or generative algorithm, nor be input into any system designed to generate derivative works.
Prohibited Actions: The Licensee may not resell, sublicense, rent, lend, alter, or transfer the Digital Asset file itself. The Licensee may not, and shall not permit any third party to, create any derivative work (edit, modify, or adapt) of the Digital Asset(s). The Digital Asset(s) may not be used as a trademark or logo.
Performance/Recapture Clause: If the Licensee fails to launch a product featuring the Digital Asset(s) within the first twelve (12) months of the license term, the Licensor has the right to renegotiate the exclusivity terms to non-exclusive status to prevent underutilization of the IP.
SECTION 5: GENERAL TERMS
Renewal Option: The Licensee has the non-guaranteed option to renew for Year 2 and Year 3, provided they notify the Licensor in writing at least sixty (60) days prior to the expiration of the current term and pay the corresponding fees.
Payment and Delivery: Payment must be sent via e-transfer to [Licensor's Business Email]. Upon receipt of payment, the Licensor will send the client a secure, encrypted cloud link containing the production-ready Digital Asset(s) in the high-resolution file format required for printing.
Governing Law & Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada.
Dispute Resolution: Any disputes arising out of or in connection with this agreement shall be resolved through [arbitration/mediation] in Edmonton, Alberta, Canada.
